The goal of this Web Site is to offer Our users, prospective users and/or Our customers (hereinafter collectively referred to as “You”, or “Your”) incredible vacation values by providing You with all of the comforts of home at resorts around the world. This Web Site is offered to You, conditioned on Your acceptance without modification of the terms, conditions, and notices contained herein (the Terms”). Your use of this Web Site constitutes your agreement to the Terms.

WHEREAS, ASuiteWeek.com is a wholesaler of travel, and resort accommodations; and

WHEREAS, You desire to purchase products and/or services at a favorable rate which are owned and controlled by Holiday Travel of America or its affiliates, or by third party content providers, merchants, sponsors and licensors (collectively "PROVIDERS") that have licensed their content or the right to market their products and/or services.; and

WHEREAS, ASuiteWeek.com has access, through an agreement between PROVIDERS, to products and/or services which are available on short term advance booking windows; and

WHEREAS, pursuant to our PROVIDERS Agreement(s), ASuiteWeek.com is contractually bound to protect certain confidential and proprietary information belonging to PROVIDERS; and

WHEREAS, the parties wish to provide for the purchase by ASuiteWeek.com , through PROVIDERS products and/or services

NOW, THEREFORE, the parties agree as follows:

RELATIONSHIP BETWEEN ASuiteWeek.com , PROVIDERS AND AN ACCOMODATING PARTY

You and We are dealing at arms' length, creating a commercial relationship. We are not Your Agent or Your fiduciary. You agree that no such agent or fiduciary relationship exists between You, ASuiteWeek.com and PROVIDERS as a result of these Terms or Your use of this Web Site.

OVERVIEW

Take your choice of one of the following regions: The United States, South America , Mexico , Europe , Caribbean , Bahamas , Canada , Australia , Africa and Asia . ASuiteWeek.com Cards are fully transferable should you wish to use it as a gift prior to activation. Once your reservation(s) have been confirmed your vacation offer will become non-refundable, making your purchase FINAL. If, for any reason you cannot travel on your confirmed reservations, all funds will be forfeited. We recommend that you research airfare prices before choosing to travel. It is your responsibility to provide a valid passport or visa, depending on which country you visit.

MODIFICATION OF THE TERMS

The Terms may change without further notice to You, and it is Your responsibility to check the Terms each time You use this Web Site. ASuiteWeek.com reserves the right, in its sole discretion, to modify, alter or otherwise change these Terms at any time. Such modifications shall be effective immediately upon posting. By using this Web Site You have agreed to be bound by the Terms that are in effect at the time of Your use of this Web Site.

CREDIT CARD USAGE

If a consumer(s) credit card(s) is used by a third party to purchase weeks, authorizations signifying Holiday Travel as the merchant of record, must been completed and signed by the consumer, prior to such use and will be kept in writing and on file for a period no less than two (2) years following the date of travel. You shall be responsible for properly informing the consumer of the no refund/cancellation policy in such a manner as to ensure the legal enforceability of such policy. Once a reservation(s) is confirmed the vacation offer will become non-refundable, making the purchase FINAL. If for any reason the traveler cannot travel on a confirmed reservation(s), all funds will be forfeited.

You agree to indemnify, protect, defend, and hold harmless Holiday Travel from all claims, judgments, causes of action, damages, penalties, fines, taxes, costs, liabilities, losses, and expenses arising (directly or indirectly) as a result of or in connection with sales generated as a result of this Agreement. In the event of a chargeback or credit, Holiday Travel will require you to provide said authorization and make every attempt to contest said chargeback or credit. If dispute by Holiday Travel is unsuccessful or You fail to provide proper consumer authorization to initiate a dispute, You agree to be responsible specifically for any charge backs or credits relating to the use of such account for consumer credit card use by You.

You agree that in the event that Holiday Travel of America suffers loss from chargeback's or credits due to such use that You will reimburse Holiday Travel of America in full, upon demand, for such losses.

ADDITIONAL TAXES AND FEES

You agree to pay any and all additional taxes and fees include but not limited to resort deposits, taxes (including, but not limited to transient occupancy tax, energy surcharges, international taxes or fees), gratuities, food, beverages, transportation, service charges, or incidental expenses. These items will be paid upon check-in or check-out at the host property. Available units with two or more bedrooms may be subject to a $50 per week, per unit additional fee.

You are solely responsible for payment of any applicable taxes, gratuities, personal expenses, utility charges, security deposits and other fees or charges levied by a resort and/or provider of accommodations for the use of amenities and facilities.

ALL-INCLUSIVE FEES

We do not collect any fees or payments for properties offering “Optional or Mandatory All-Inclusive Programs.” All travelers staying at All-Inclusive properties are solely responsible for all payments and fees to the host property. Please review each properties profile and additional information carefully before making a decision. We cannot collect or quote fees, please contact the resort directly to determine the cost. Your payment is for the accommodations only.

WHAT IS AN ALL-INCLUSIVE PACKAGE?

Some resorts offer ALL-INCLUSIVE accommodations. These packages include meals and beverages, many all-inclusive resorts also include water sports and other amenities as well. By clicking on the picture or property details link you will be able to review the property information to determine the specifics of what each property includes along with the room accommodations and meals. Some all-inclusive properties include all water sports while others include only non-motorized water sports. Review each property profile carefully before making a decision.

HOLDS

You may place a hold on a particular accommodation(s) for a twenty-four (24) hour period without confirming such accommodation(s). If You do not confirm the particular accommodation(s) within such time period, the hold will be released and the accommodation(s) will be available for confirmation by others.

OCCUPANCY AND AGE REQUIREMNETS

The total number of people occupying any accommodation(s) must not exceed the maximum occupancy of the particular accommodation(s) set forth in the Confirmation; otherwise, access may be refused or the applicable resort or provider of the accommodations may levy an additional charge. You and Your guests must occupy and use any accommodations in a responsible, careful and secure manner. You are responsible for any acts and omissions, which result in any damage, theft or loss, caused by You or Your guests while using the accommodations. You must be at least twenty-one (21) years of age to confirm a vacation on this Web Site. In some instances, the minimum age to make a reservation may be higher where required by a resort or other provider of accommodations. Booking of any unit(s) by any person(s) under the age of 21 may be refused by the host property upon check-in.

CONFIRMATION

Once you are confirmed the week is non-transferable and not allowed to be cancelled. A name change is considered a cancellation in our PROVIDERS system. Once your reservation(s) have been confirmed your vacation offer will become non-refundable, making your purchase FINAL. A Confirmation may not be used for any commercial purpose, including rental or sale of the accommodation(s) which is/are represented by such Confirmation. A Confirmation may only be used by the person whose name(s) appears on the Confirmation.

We reserve the right to cancel Your Confirmation if payment for any accommodation(s) is/are rejected by Your bank or credit card company.

USER'S RESPONSIBILITIES

You are solely responsible for Your Information, and We act as a passive conduit for Your online distribution and publication of Your Information. As used in these Terms, "Information" means any information or data that You submit to this Web Site and any Information or data that is generated by this Web Site as a result of Your use of this Web Site.

You are solely responsible for maintaining the confidentiality of Your account information and any identification numbers or codes (collectively, " User ID's"), confirmation numbers, and/or passwords provided to You (as applicable) in the use of this Web Site. You agree to accept responsibility for all activities that occur under Your account, User ID's, confirmation numbers, and/or passwords. In the event that You shall maintain such User ID's, confirmation numbers, and/or passwords in confidence and You agree not to distribute or disclose the same to third parties. Reservations confirmed hereunder (“Confirmations are valid only if issued by ASuiteWeek.com . Upon receipt, please check all the details in the Confirmation and notify Us immediately if anything is incorrect, as changes to any aspect of the Confirmation may be treated as a cancellation.

PROHIBITED ACTIVITIES

ASuiteWeek.com and PROVIDERS act only as agents for the resorts and condominiums and will not assume any responsibility for any loss, delay, accident, injury or damage to persons, property or any liability whatsoever arising from or in conjunction with services provided. We cannot guarantee that any particular destination or any particular requested week will be available. Fulfillment of requested weeks is subject to the PROVIDERS ability to fulfill the reservation request at its contracted rate for the time and destination chosen. ASuiteWeek.com and PROVIDERS cannot be held responsible for any act of God, and/or any other circumstances beyond our control, causing destinations to become unavailable.

Any complaints about the accommodations or services provided at a resort should be made, in writing, at the earliest opportunity to a person in authority at the resort and to Us.

ASuiteWeek.com and PROVIDERS are not responsible for any verbal or written representations not contained on your travel card, certificate, or this website.

Destinations and travel times are subject to availability and confirmed on a first come, first served basis. Offer includes only accommodations and specifically excludes travel costs and other expenses that may be incurred. Promotional discounts may not apply to all properties. Offer may not be combined with any other promotion, discount, or coupon. Other restrictions may apply. Offer void where prohibited by law.
